Terms of Service

1. Who we are and what this agreement covers
ClauseCheck is operated by Creating Empowerment Solutions LLC (“CES,” “we,” “us”), 30 N Gould Street, Suite R, Sheridan, WY 82801. These Terms govern your use of the ClauseCheck website, document-review tool, and attorney directory (together, the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.
2. Information, not advice
ClauseCheck locates clauses and terms in documents you upload and describes, in general terms, what that kind of clause or term commonly means. It does not tell you whether a term is fair, favorable, enforceable, or right for your situation, and it does not tell you what to do. Using the Service does not create an attorney-client relationship between you and CES, ClauseCheck, or anyone listed in the attorney directory. The Service is not a substitute for advice from a licensed attorney admitted in your jurisdiction, and you should not rely on it as one.
The Service may miss clauses, misclassify a document, or extract a date incorrectly. It does not check a document for completeness, and it is not a proofreading or drafting tool for anything beyond the specific proofreading feature we may offer separately. Before relying on any date, deadline, or obligation the Service surfaces, confirm it against your original document.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You’re responsible for the accuracy of the information you give us, for keeping your login credentials confidential, and for everything that happens under your account. Tell us immediately if you suspect unauthorized access.
4. Documents you upload
You keep ownership of any document you upload. You’re giving us a limited license to store, process, and analyze it solely to provide the Service to you — we don’t use your documents to train AI models, and we don’t sell them. You confirm that you have the right to upload each document and to have it processed this way; don’t upload anything that infringes someone else’s rights, is subject to a confidentiality obligation you’d be breaching by uploading it, or that you don’t otherwise have permission to share.

5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or to violate anyone’s rights.
- Upload documents you don’t have the right to share, or malware, or content designed to disrupt the Service.
- Attempt to reverse-engineer, scrape, or extract our clause and term explainer libraries in bulk, or resell access to the Service.
- Misrepresent your identity, impersonate someone else, or create accounts through automated means.
- Interfere with the Service’s operation, probe its security, or attempt to access another member’s data.
- Use anything in the attorney directory to make representations to third parties that CES endorses, vets beyond bar-status verification, or vouches for a listed attorney’s quality.
6. Fees and plans
ClauseCheck currently offers a free tier with limited document analyses per period. We may introduce paid plans, credit packs, or additional features for a fee; if we do, pricing and billing terms will be presented before you’re charged, and recurring charges can be canceled at any time effective at the end of the current billing period. Fees, once paid, are non-refundable except where required by law or stated otherwise at the time of purchase.
7. The attorney directory
The directory is a paid advertising placement, not a referral or matching service. Attorneys pay a flat listing fee, identical for everyone in a jurisdiction; listings are randomized and never selected based on your documents. We verify bar admission status as part of listing an attorney, but we don’t evaluate, endorse, or guarantee the quality of any attorney’s work. Any engagement you enter with a listed attorney is solely between you and them — CES is not a party to it, does not handle payments or documents on your behalf in that engagement, and is not responsible for the outcome.
8. Intellectual property
The Service, including its clause and term explainer libraries, design, and underlying software, belongs to CES or our licensors and is protected by intellectual property law. These Terms don’t grant you any rights to our trademarks, logos, or brand assets beyond what’s necessary to use the Service as intended.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ANALYSIS WILL BE ACCURATE OR COMPLETE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY DECISION MADE IN RELIANCE ON IT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.
11. Indemnification
You agree to defend and indemnify CES against claims arising from your violation of these Terms, your misuse of the Service, or content you upload that infringes someone else’s rights.
12. Termination
You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other members.
13. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Sheridan County, Wyoming, and you consent to jurisdiction there.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we’ll notify you by email or through the Service before they take effect. Continued use after changes take effect means you accept the updated Terms.
